These Terms of Service govern the use of Zoiver Tech’s services.
Scope:
– Applies to all services offered by Zoiver Tech including MVP builds, modernization, and AI solutioning.
User Obligations:
– Provide accurate information, comply with laws, and refrain from unlawful use of services.
Payment Terms:
– Milestone-based invoicing, payable within 30 days (Net-30).
– Payments are non-refundable once milestones are delivered.
Intellectual Property:
– Clients retain ownership of IP developed for them.
– Zoiver retains ownership of internal tools, processes, and methodologies.
Liability:
– Zoiver’s liability is limited to fees paid within the 6 months preceding the claim.
– No liability for indirect, incidental, or consequential damages.
Termination:
– Either party may terminate with 90 days’ written notice.
– Immediate termination in case of breach of these terms.
Governing Law & Dispute Resolution:
– Governed by the laws of Delaware, USA.
– Disputes resolved by arbitration under AAA rules.
